Terms and Conditions
Welcome to TechTo Networks. By accessing our website or using our services, you agree to comply with and be bound by these Terms and Conditions ("Terms"). Please read them carefully before using our services. If you do not agree to these Terms, you must not access or use our services.
1. General Overview
These Terms apply to all services provided by TechTo Networks, including Bulk SMS, WhatsApp Business API messaging, Google RCS, and DLT (Distributed Ledger Technology) registration and compliance solutions ("Services"). These Terms, together with our Privacy Policy, Acceptable Use Policy, and Refund & Cancellation Policy, form the complete agreement between you and TechTo Networks.
2. Use of Services
By using our Services, you agree to provide accurate, complete, and up-to-date information when registering for or using our Services; to use our Services in compliance with all applicable laws, including TRAI regulations, the DLT framework, the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023; to obtain valid, verifiable consent from your customers or recipients before sending any promotional or transactional messages through our platform; and to maintain accurate DLT entity, header, and template registrations, promptly updating them if your business details or use case changes.
3. Customer Responsibility for DLT and Regulatory Compliance
You acknowledge and agree that you are solely responsible for the content, accuracy, and legality of all messages sent through our platform, including ensuring templates match your registered DLT headers and content templates, and that you are responsible for maintaining valid consent and scrubbing lists for all recipients and for promptly honoring opt-out requests. TechTo Networks provides infrastructure and DLT registration assistance but does not verify the legality or consent basis of individual messages you send, and bears no liability for penalties, blacklisting, or regulatory action arising from your non-compliance. Any TRAI, DLT platform, or carrier-imposed penalty, fine, or suspension resulting from your violation of applicable regulations will be passed through to you and is your sole responsibility.
4. Service Availability
We strive to ensure our Services are available on a continuous basis. However, availability may be affected by scheduled maintenance, upgrades, or unforeseen technical issues, including outages at third-party carriers, DLT platforms, or Meta/WhatsApp infrastructure that are outside our control. We are not liable for downtime or service interruptions arising from causes beyond our reasonable control, including those addressed in Section 11 (Force Majeure).
5. Account Security
You are responsible for maintaining the confidentiality of your account credentials, API keys, and access tokens. You must notify us immediately of any suspected unauthorized access to or use of your account. TechTo Networks is not liable for any loss or damage arising from your failure to safeguard your account credentials.
6. Payment and Billing
All payments for our Services must be made in accordance with the agreed pricing plan and invoice terms. Failure to make timely payment may result in suspension or termination of Services, in addition to any late payment charges specified in your service agreement. Refunds, where applicable, are governed exclusively by our Refund & Cancellation Policy.
7. Data Privacy
We respect your privacy and are committed to protecting personal data processed through our Services, in accordance with our Privacy Policy. By using our Services, you also agree to process any personal data of your own customers or recipients in compliance with applicable data protection law.
8. Acceptable Use
You agree not to use our Services to send spam, unsolicited messages, phishing content, or any content that violates TRAI regulations or the DLT framework; to send content that is unlawful, fraudulent, defamatory, obscene, or that infringes the intellectual property or privacy rights of any third party; to attempt to circumvent, disable, or interfere with the security, integrity, or performance of our platform or infrastructure; to use our Services to transmit malware, conduct phishing campaigns, or engage in any activity that could harm TechTo Networks, our carrier partners, or third parties; or to resell or sublicense access to our Services without our prior written consent, except where expressly permitted under a reseller agreement. 9. Intellectual Property
All software, platform features, documentation, trademarks, and content provided by TechTo Networks remain our exclusive property or that of our licensors. These Terms do not grant you any ownership rights, and you may not copy, modify, reverse-engineer, or create derivative works from our platform except as expressly permitted in writing.
10. Suspension and Termination
We reserve the right to suspend your access to our Services, without prior notice, where we reasonably suspect a violation of these Terms, misuse of the platform, or a risk to our infrastructure or other customers, pending investigation. We reserve the right to terminate your access entirely if a violation is confirmed. Termination does not relieve you of any outstanding payment obligations, and no refund is due for the terminated period, as set out in our Refund & Cancellation Policy.
11. Force Majeure
TechTo Networks will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, government action, internet or telecom infrastructure failures, carrier or DLT platform outages, or failures of third-party providers such as Meta/WhatsApp.
12. Limitation of Liability
To the maximum extent permitted by applicable law, TechTo Networks shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, profits, data, or business opportunity, arising from your use of or inability to use our Services. Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to TechTo Networks in the three months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold TechTo Networks, its officers, employees, and affiliates harmless from any claim, liability, damage, or expense, including reasonable legal fees, arising from your use of our Services, your violation of these Terms, your violation of any applicable law or regulation, or your infringement of any third-party right, including claims arising from messages sent without valid consent.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Thiruvananthapuram, Kerala, India.
15. Severability and Assignment
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets without restriction.
16. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date, and your continued use of our Services after such changes constitutes your acceptance of the modified Terms.
